1. Agreement to Terms

These Terms & Conditions ("Terms") govern your access to and use of the ChatCart Pro AI website and service ("Service"), operated by Nexsofture Private Ltd ("Company," "we," "us," "our"). By accessing our website, booking a demo, or using ChatCart Pro AI, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

ChatCart Pro AI is an AI-powered WhatsApp automation service that helps businesses take orders and manage appointment bookings through the WhatsApp Business Platform. The Service relies on Meta's WhatsApp Business API and third-party AI models to interpret and respond to customer messages.

3. Eligibility and Accounts

• You must be at least 18 years old and authorized to act on behalf of the business you represent to use the Service.
• You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.
• You agree to provide accurate, current, and complete information when requesting a demo or signing up for the Service.

4. Demo Requests

Submitting a demo request does not create a binding contract for paid services. A separate agreement, order form, or subscription will govern paid use of ChatCart Pro AI once terms are mutually agreed.

5. Acceptable Use

You agree not to use the Service to:

• Send unsolicited, unlawful, deceptive, or spam messages, or otherwise violate Meta's WhatsApp Business Messaging Policy and Commerce Policy.
• Transmit content that is illegal, defamatory, obscene, or infringes on any third party's intellectual property or privacy rights.
• Attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service, its AI models, or underlying infrastructure.
• Use the Service in a manner that could damage, disable, or impair its operation or another user's access to it.

6. Third-Party Services

The Service depends on third-party platforms, including Meta's WhatsApp Business Platform and third-party AI model providers (for text, voice, image, and video processing). We are not responsible for outages, policy changes, pricing changes, or service interruptions caused by these third parties. Your use of WhatsApp is also subject to Meta's own terms and policies.

7. Fees and Payment

Where paid plans apply, fees (including any one-time setup fee, recurring subscription fee, and usage-based charges such as WhatsApp conversation costs or AI model usage) will be set out in an order form, invoice, or pricing page presented to you at the time of purchase. Fees are exclusive of applicable taxes unless stated otherwise. Failure to pay fees when due may result in suspension or termination of the Service.

8. Intellectual Property

The Service, including its software, design, branding, and content (excluding your own business data and customer conversations), is owned by Nexsofture Private Ltd and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

9. Your Content and Data

You retain ownership of the business data, menus, price lists, and customer conversation data you provide or generate through the Service. You grant us a license to process this data solely to provide and improve the Service, as described in our Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to accuracy, reliability, or fitness for a particular purpose. AI-generated responses may occasionally be inaccurate or incomplete; you are responsible for reviewing critical business communications and configuring appropriate human handoff where needed.

11. Limitation of Liability

To the maximum extent permitted by law, Nexsofture Private Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of, or inability to use, the Service.

12. Indemnification

You agree to indemnify and hold harmless Nexsofture Private Ltd from any claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including Meta's policies.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or as required by law. You may stop using the Service at any time; any paid fees already incurred remain payable.

14. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in India, unless otherwise required by applicable local law in your jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
